Dangote Refinery Files IPO Application, Targets September Stock Market Debut

Dangote Petroleum Refinery has formally applied to the Securities and Exchange Commission (SEC) for an Initial Public Offering (IPO), setting the stage for what could become one of the largest stock market listings in Africa as the company targets a September 2026 debut on the Nigerian Exchange.

The application marks a significant milestone in the refinery's transition from private ownership to a publicly listed company, opening the door for retail and institutional investors to acquire equity in the 650,000-barrel-per-day facility, regarded as the largest single-train refinery on the continent.

SEC Director-General, Emomotimi Agama, confirmed that the application is now before the commission, noting that the refinery's advisers are already working closely with regulators to advance the approval process. According to him, the commission does not anticipate any regulatory obstacles capable of delaying the proposed listing, adding that any issues arising during the review would be resolved promptly in line with the SEC's mandate.

The filing comes only days after Dangote Refinery successfully concluded a $2.5 billion private placement, which was reportedly 3.7 times oversubscribed, highlighting strong investor confidence in the project ahead of its planned public offering. The proceeds are expected to strengthen the refinery's balance sheet as it expands production and distribution across domestic and export markets.

The planned IPO also aligns with longstanding calls by regulators for Nigeria's largest privately-owned companies to deepen the country's capital market through public listings. If approved, Dangote Refinery is expected to rank among the Nigerian Exchange's biggest listed companies by market capitalisation, significantly boosting market liquidity and investor participation.

The SEC disclosed that it had concluded investigations into the premature promotion of the proposed public offering by some market operators before regulatory approval was granted. Agama stated that sanctions were being imposed on the affected entities, stressing that strict compliance with capital market regulations remains essential to preserving investor confidence and market integrity.

Dangote Group President, Aliko Dangote, had earlier indicated that the listing would provide ordinary Nigerians and institutional investors with an opportunity to participate directly in the refinery's growth story. The public offering is expected to become one of the most closely watched capital market transactions in Nigeria, reflecting the strategic importance of the refinery to the country's energy sector.

The refinery, which has transformed Nigeria's downstream petroleum industry by significantly reducing dependence on imported refined products, has continued expanding supplies of Premium Motor Spirit (PMS), Automotive Gas Oil (AGO), aviation fuel and other petroleum products to both domestic and export markets. Market analysts believe its entry onto the Nigerian Exchange could further strengthen investor confidence in Nigeria's industrial sector while providing the capital required for future expansion.

With the IPO application now undergoing regulatory review, market attention will shift to the SEC's approval process and the eventual release of the prospectus ahead of the anticipated September 2026 listing. The offering is widely expected to reshape Nigeria's capital market and provide investors with direct exposure to one of Africa's most significant energy infrastructure projects.
