Seplat Energy Plc, a leading Nigerian oil company listed on both the Nigerian Exchange Limited and the London Stock Exchange, has officially completed the acquisition of Mobil Producing Nigeria Unlimited (MPNU) from ExxonMobil Corporation. This significant deal, announced on Thursday, marks a major milestone for Seplat Energy as it expands its operations and increases its production capacity.
The Acquisition Details
The acquisition more than doubles Seplat’s production capacity, bringing its output to approximately 120,000 barrels of oil equivalent per day. The deal was originally agreed upon in February 2022, but had faced delays due to regulatory reviews. In October 2024, the Nigerian federal government gave its approval for the sale of ExxonMobil’s onshore assets in Nigeria to Seplat Energy.
The acquisition of MPNU is valued at $800 million, which is a reduction from the original agreement price of $1.283 billion. This amount includes additional payments that could total up to $300 million over five years, contingent on certain performance criteria. The adjustment in the deal reflects broader market conditions and economic considerations within the oil sector.
Seplat’s Vision and Strategic Goals
Udoma Udo Udoma, Chairman of Seplat Energy, expressed his gratitude to President Bola Tinubu and relevant Nigerian ministries for their support in facilitating the deal. He said, “We sincerely thank His Excellency, President Bola Ahmed Tinubu GCFR, for supporting this transaction, and we appreciate the work of the various Ministries and regulators in helping us reach a successful conclusion.”
He also highlighted Seplat’s commitment to expanding its footprint and increasing positive impacts in communities where it operates. “We are excited to welcome MPNU’s employees into the Seplat Energy family and look forward to achieving similar success in our new regions,” Udoma added.
Employee Integration and Corporate Responsibility
One of the key assurances made by Seplat Energy is that it will absorb all employees of MPNU into its workforce, ensuring a seamless transition and continued positive contributions to local communities. This integration aligns with Seplat’s mission to create value for all stakeholders, including the government, communities, and employees.
Roger Brown, Seplat Energy’s CEO, emphasised the company’s long-term vision to boost its oil and gas production while maintaining high environmental standards. He stated, “MPNU has an excellent portfolio of assets and infrastructure in a world-class basin. We are committed to investing in these assets to increase production, reduce costs, and minimise emissions, while delivering strong value for our shareholders.”
Brown also noted that MPNU fits well into Seplat’s broader strategy of building a sustainable energy business. The company aims to provide affordable, accessible, and reliable energy for Nigeria, while achieving attractive returns for its investors.
Market Context and Industry Trends
This acquisition is part of a wider trend in the oil industry, where major oil companies like Mobil Nigeria, Eni, and Equinor have been selling their onshore assets in Nigeria. These companies are focusing more on offshore operations, driven by a range of challenges, including oil theft, pipeline vandalism, and the economic pressures that affect onshore oil extraction.
By acquiring MPNU, Seplat Energy strengthens its position in Nigeria’s energy sector, while continuing to support national energy security. The deal is also a reflection of Seplat’s ability to navigate regulatory complexities and secure valuable assets that enhance its operational capacity.
What This Means for Seplat and Nigeria’s Energy Future
For Seplat Energy, this acquisition significantly enhances its capacity to contribute to Nigeria’s energy needs. The addition of MPNU’s assets bolsters Seplat’s role as Nigeria’s leading indigenous oil and gas company. The deal allows Seplat to expand its operations and solidify its long-term strategy of building a sustainable energy business.
The acquisition also serves as an important step for Nigeria’s broader energy landscape. By increasing domestic oil production, Seplat Energy plays a crucial role in ensuring that the country remains a key player in the global oil market. This growth in capacity will not only boost Seplat’s output but also contribute to the stability of Nigeria’s energy supply, providing jobs, improving local economies, and reducing dependence on foreign oil imports.
In conclusion, Seplat Energy’s acquisition of Mobil Nigeria represents a key moment in the evolution of Nigeria’s energy sector. The deal positions Seplat to play an even more prominent role in meeting the country’s energy needs while driving growth, sustainability, and value for its shareholders.
